Terms and Conditions Effective Date: 1 January 2026
These Terms and Conditions ("Terms") govern your use of services provided by DNP Enterprises Ltd, trading as DNP Marketing ("we," "us," or "our"). By engaging our services, you agree to be bound by these Terms.
1. About Us DNP Enterprises Ltd, trading as DNP Marketing, is a digital marketing agency based in Te Awamutu, Waikato, New Zealand. We specialise in website development, SEO, social media management, sales funnels, and paid advertising for local service businesses.

2. Services We provide digital marketing services including but not limited to: - Website design and development - Search Engine Optimisation (SEO) - Social media management - Sales funnels and lead generation - Paid advertising (Facebook Ads, Google Ads) - Brand strategy and messaging
All quotes provided on this website are subject to a full scope of work being identified during our discovery and planning process.
3. Payment Terms
Discovery Call: Our initial discovery call is provided free of charge.
Planning Session: A 2-hour planning session is available for $250 + GST. If you proceed with the project, this fee will be credited towards your total project cost. If you choose not to proceed, the planning session fee is payable in full.
Website and Funnel Projects: - 1/3 of the total project cost is due before work begins (after the planning session) - 1/3 is due when website/funnel preview links are provided for your review and editing - Final 1/3 is due when the website/funnel goes live
Ongoing SEO Services: Monthly SEO service payments are due on the 20th of each month.
All Other Services: Payment terms for other services will be agreed upon by negotiation prior to work commencing.
All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless otherwise stated.
4. Intellectual Property Upon full payment, you will own the rights to your completed website, content, and assets we create specifically for you. We retain ownership of any proprietary systems, frameworks, templates, or tools used in delivering our services.
We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
5. Client Responsibilities You agree to: - Provide accurate and complete information required for the project - Respond to requests for feedback and approvals in a timely manner - Ensure you have the rights to any content, images, or materials you provide - Make payments according to the agreed schedule
6. Warranties and Limitations We will provide our services with reasonable care and skill. However: - We do not guarantee specific results from SEO or marketing campaigns - We are not liable for third-party platform changes (e.g., Google algorithm updates, Facebook policy changes) - Our liability is limited to the fees paid for the specific service in question
7. Confidentiality Both parties agree to keep confidential any proprietary information, business strategies, or sensitive data shared during our engagement.
8. Termination Either party may terminate services with 30 days written notice. Upon termination: - Payment is due for all work completed up to the termination date - We will provide you with any completed work and assets
9. Dispute Resolution We encourage open communication to resolve any concerns. If a dispute arises: - We will first attempt to resolve the matter through good-faith negotiation - If unresolved, mediation may be pursued - These Terms are governed by New Zealand law, and the courts of Waikato (Hamilton) have exclusive jurisdiction
10. Changes to Terms We may update these Terms from time to time. The current version will always be available on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
